Emdeon Inc., a vendor of claims clearinghouse and revenue cycle management services, will acquire Healthcare Technology Management Services, a consulting firm primarily serving health insurers.

Under a definitive acquisition agreement, Nashville, Tenn.-based Emdeon will pay $8.5 million in cash and $2.5 million in stock at closing, with additional cash payments contingent on financial performance of up to $14 million during the following three years.

Indianapolis-based HTMS assists insurers to develop and implement technology strategies, including researching and assessing information technology applications. The acquisition will give Emdeon new services to offer to payers, and complement existing services to assist in implementation of the HIPAA 5010 transaction sets and ICD-10 code sets, according to the company. More information is available at emdeon.com and hctadvisors.com.
