Cerner Corp. reached an agreement to acquire IMC Health Care Inc., which provides employer-sponsored, on-site clinics. Terms of the acquisition were not disclosed.

Cerner for several years has operated a clinic for employees and dependents at its Kansas City, Mo.-based headquarters (pictured, right). The company also establishes such clinics--loaded with its information systems--to other employers. Its first employer client is Cisco Systems Inc., San Jose, Calif.

The acquisition of Jacksonville, Fla.-based IMC Health Care, which serves 15 employer clients through 23 clinics, will expand Cerner's employer health initiatives. IMC Health Care's clients include such well-known corporations as American Axle & Manufacturing, Dr. Pepper Snapple Group, Campbell Soup Co., Jayco, Publix Super Markets and Sea Ray Boats.

Cerner expects the acquisition to close during the first quarter of this year and to not have a material impact on the year's financial results. Todd Keller, M.D., founder and CEO of IMC Health Care, will retire and volunteer for Doctors Without Boarders and Ronald McDonald House Charities. IMC Health Care's senior vice president of business development Don Stubbs and senior vice president of operations Tom Neville will join Cerner and help lead its employer health initiatives.

Cerner will support IMC Health Care's existing clients and offer them I.T. products, including electronic health records. Cerner will use IMC Health Care's expertise, particularly in occupational health, to improve the Cerner clinic model, which will be the marketed model going forward.

Microsoft to Buy Sentillion

Microsoft Corp. is acquiring Sentillion Inc., an Andover, Mass.-based vendor of context management and single-sign-on software, for an undisclosed sum. The vendors already are partners, as Redmond, Wash.-based Microsoft in mid-2009 signed a license to use Sentillion's software as a module with the Amalga Unified Intelligence System. Amalga is advanced data integration and aggregation software. Sentillion's applications enable users to access and simultaneously view patient data from multiple information systems during a single session.

A major success factor for accountable care organizations will be linking caregivers across the spectrum of care delivery. If history is any indication, that's going to be an industrywide struggle.
